Swiss Corporation Law: A Primer for Legal Practitioners

In 2020, Swiss parliament concluded a 25-year journey of revising the Swiss corporation law that applies both to listed and unlisted companies. The revised rules are expected to enter into effect on January 1, 2023. This book serves as an introduction to the key topics surrounding the establishment and organization of Swiss listed and unlisted corporations, the most important governance rules, transformational transactions including (i) mergers, demergers, public takeover offers and the like, (ii) principles of accounting, auditing and Swiss employment law and (iii) liability, indemnification and insurance. Each chapter of the book was written by one or two authors from the Homburger law firm in Zurich and provides a practical, user-friendly introduction into the topics at hand.
