Das Grundlagenwerk analysiert erstmals die Vielzahl der unter dem Begriff Corporate Social Responsibility (CSR) gefassten normativen Prozesse und unterzieht diese zugleich einer Systematisierung und kritischen Prüfung. Nationales, supranationales und Völkerrecht sowie transnationale privatrechtliche Instrumente - ergänzt und überlagert durch Soft Law und informelles Steuern privater und öffentlicher Akteure - sind der smart mix, aus dem ein globaler Ordnungsrahmen für unternehmerisches Wirtschaften entstehen soll.
Die Autorin stellt diese Prozesse in den Kontext prinzipieller Betrachtungen, insbesondere zum Unternehmensbegriff, zu Begründung und Reichweite unternehmerischer Verantwortung und zu Public-Private Governance. Dabei wird deutlich, dass die Informalisierung der Normbildung und ihre Verlagerung auf Exekutiven und private Akteure grundsätzliche Fragen nationaler Souveränität, demokratischer Legitimation und Rechtsstaatlichkeit aufwerfen und eine neue Definition von "Recht" fordern.

Abstract This fundamental study both analyses the variety of normative processes encompassed by the term “Corporate Social Responsibility” (CSR) and subjects them to critical examination. Domestic and supranational legislation, international law along with transnational mechanisms related to private law – supplemented and superseded by soft law and informal taxation of private and public parties - are the ideal combination from which a global regulatory framework for entrepreneurial activity is intended to develop. The author principally deals with these processes in relation to the concept of enterprise, the justification and scope of commercial responsibility and in relation to public and private governance. Accordingly, the author reveals that informalizing norm-building and transferring it to executives and private third-parties raise fundamental questions related to national authority and democratic legitimacy and rule of law. This volume is a must for scholars of law, politics and social sciences, not to mention policy-makers in economics, politics, the legal profession and civil society.
