'The Applicability of the Provisions on the Relationship between Owner and Possessor in the Unwinding of the Failed Transfer of GmbH-Shares'

This thesis examines whether in case of a failed transfer of shares in a GmbH (German LLC) the discrepancy between the right and the possibility of dominion, characterised by the legitimising effect of the list of shareholders, can instead lead to the application of the provisions on the relationship between owner and possessor. By comparing ownership and shareholding as well as material possession and the normative position of the listed shareholder, the thesis affirms their application.
